Terms of service

The short version
- You pay a one-time build fee and a monthly subscription billed once a year.
- Your rate is locked for two years from the day you start. If we raise prices, yours does not move until then.
- Your members pay you through your own Stripe account. We never touch your money.
- Your content, your member list and your domain are yours. Export is a button in your own dashboard, not a request you make of us.
- The site is standard WordPress. If you leave, it goes with you and any competent developer can work on it.
- Cancel whenever you like — no notice period. Annual fees are not refundable, and we tell you that here rather than in a footnote.

1. Who you are dealing with
Purple Pushpin is a product of Purple Wave Creative LLC, a Michigan limited liability company at 1938 Burdette St #3066, Ferndale, MI 48220. Where this page says “we” or “us”, that is who it means. “You” is the organization buying the service.
This page is not the contract. Before we build anything we send you a written service agreement, and that signed document is what governs your account. This page explains, in plain language, what is in it — so you can read the important parts before you ever talk to us.
2. What you are buying
A website built on WordPress using our software, set up for your organization, plus hosting and an ongoing subscription that keeps it running.
- The member and event features described on this site at the time you sign: member records, events and registration, ticketing and sponsorships, invoicing, documents, a directory and email sending from your own address.
- Hosting, software updates, security and regular backups for as long as your subscription is active.
- Every improvement we make to the software, at no extra charge. Every feature is included at every size.
3. Prices and billing
Build fee. $2,000 for a standard build, paid in full at checkout. It covers design and build, setting up your members and events, and moving your existing content across. If your site needs more than a standard build, we quote it in writing before you pay anything. The build fee is refundable in full up to fourteen days before your scheduled build start date, and non-refundable after that, because the time has been held for you and turned away from someone else.
Subscription. Priced per site, never by member count: $129 a month for up to 10,000 contacts, $179 a month for up to 25,000, and quoted above that. Unsubscribed and bounced addresses do not count toward either limit. Billed annually in advance, starting on your go-live date rather than the day you sign up, so you never pay for your old platform and ours at the same time. The first year is charged automatically on that date to the card you gave at checkout. If your organization pays by check on a board cycle, tell us before you sign and we will set your invoice to net 15 instead — we would rather fit your accounting process than argue with it.
If your list grows. We will email you when you reach 9,000 contacts. If you pass 10,000, we will tell you, and you have 30 days to bring your list back under before anything changes. If you are still over after 30 days, you move to the $179 plan and pay only the difference for the months left in your billing year. You stay on that plan until your next renewal, when we check your count again; if you are back under 10,000 by then, you return to $129. Nothing on your site is ever switched off or limited because of your contact count — registrations, applications, dues and donations keep working the whole time.
Your domain. Registered in your organization’s name and billed to you by your registrar — usually about $20 a year. We do not charge for it and we do not mark it up.
4. The price lock, and renewals
The first term runs twelve months from the day your site goes live, and renews for further twelve-month terms.
You can cancel whenever you like. No notice period, no reason required, no exit call to sit through. Your cancellation takes effect at the end of the term you have already paid for, and you keep the service until then. If we are the ones not renewing, we will tell you at least sixty days out so you have time to arrange something else.
Your rate is fixed for two years from your go-live date, whatever we charge new clients in that time. The lock covers the price of each plan; it does not stop a move between the $129 and $179 plans when your list size changes. After the two years we may change it — and if we do, we will tell you in writing at least sixty days before the renewal date it would apply to. That is enough notice for a board to put it on an agenda and decide.
5. Refunds
Annual subscription fees are not refundable, including if you stop using the service part way through a term. You keep the service until the end of the term you have paid for.
The build deposit is refundable as described above. If we end the agreement for a reason that is not your fault, we refund the unused part of your current term, calculated by month.
6. Your members’ money
Payments from your members go directly into your organization’s own Stripe account. We do not receive, hold, route or have access to your funds at any point, and we take no percentage of them. Stripe’s own processing fees apply and are set by Stripe.
Full card numbers are collected by Stripe and never reach your website or our systems.
7. What is yours, and leaving
- Your domain is registered in your organization’s name throughout.
- Your content, member records, registrations, invoices, payment records and documents belong to you, and are exportable at any time — without asking us, and without anything having gone wrong.
- Export is a button in your own dashboard, not a favour you ask us for. It covers members, events, registrations, invoices, payment records, documents and page content, in standard formats. It does not depend on us being available, or willing, or still in business.
- Your site is standard WordPress. If you leave, it moves to any host, and any competent WordPress developer can work on it.
- Because export is self-serve, take yours before your service ends. We keep your site up for thirty days after the end date so you can, and hold the backups for thirty days after that.
- Hosting, email sending, updates, security patches and support are services. They stop on your end date, because they are what the subscription pays for. The software itself stays installed on the site — it just will not update, and we will not maintain it. If you are leaving, plan to replace it rather than run it untended.
8. What is ours
The Purple Pushpin software, including its plugin and theme, remains ours. Nothing here transfers ownership of it, and it may not be resold, sublicensed or offered as a service to other organizations.
We would like to be able to name your organization as a client and show your website as an example of our work. If you would rather we did not, tell us and we will not.
9. Support, and what is not included
- Support is by email. We aim to answer within one business day, and genuine breakage jumps ahead of everything else.
- It covers the software working as described, questions about how to use it, and fixing things that break.
- Not included unless separately agreed: writing your content, design work beyond the original build, training beyond the materials we provide, custom development, and the cost of any third-party service you choose to add.
- We are not responsible for problems caused by changes you or a third party make to the site’s code, or by plugins you install yourself.
10. What we need from you
- The content, member data and access we need to build the site, and a prompt word when something needs correcting.
- Keeping your own administrator accounts secure, and telling us quickly if you think one has been compromised.
- The right to use any content, images or member data you give us.
- Using the service lawfully, and not for unsolicited bulk email.
11. What we do not promise
We will keep the service running as reliably as we reasonably can, but we do not promise it will never be unavailable. Hosting, Stripe, email delivery and the internet itself are outside our control.
We do not promise the software is free of every fault. We do promise to fix faults we are told about, promptly and at no charge.
Neither of us is liable to the other for indirect or consequential losses, including lost revenue, lost membership or lost goodwill. Our total liability for any and all claims is limited to what you paid us in the twelve months before the claim arose. Nothing here limits liability that cannot be limited by law.
12. Ending the agreement
- You can cancel at any time, effective at the end of the term you have paid for. We give sixty days’ notice if we are the ones not renewing.
- Either of us can end it immediately, in writing, if the other seriously breaches it and has not put it right within thirty days of being told.
- Either of us can end it at any time by mutual written agreement.
- However it ends, section 7 still applies: you take your site and your data with you.
Suspension
We may suspend a site for non-payment, or immediately if it is being used unlawfully, to send unsolicited bulk email, or in a way that puts our other clients’ sites at risk. A suspended site shows a holding page and stops sending email.
What a suspension never does is lock you out of your own records. Your administrators keep access to the back end and to the export tool the whole time, and nothing is deleted. We are willing to switch a site off over an unpaid invoice; we are not willing to hold a chamber’s member list hostage, and you should not work with anyone who is.
13. Changes to these terms
We may update this page — for example if we add a feature or change a sub-processor. The version that applies to an existing client is the one attached to their signed agreement, and we will not change that mid-term without asking. Material changes are emailed to current clients at least thirty days before they take effect.
14. Law, and getting hold of us
These terms are governed by the laws of the State of Michigan, and the courts of Oakland County, Michigan have jurisdiction.
